Ultrajaya–FrieslandCampina: control, a rights issue and transaction completion

An announced acquisition of control is not the same as a completed change of control. The reported Ultrajaya transaction illustrates why structure and completion need to be read separately.

The structure reported by The Jakarta Post

The Jakarta Post describes a transaction under which FrieslandCampina would obtain control of Ultrajaya through a noncash contribution and a rights issue. Frisian Flag Indonesia shares would be transferred to Ultrajaya. The report states that the change of control takes effect on completion and remains subject to approvals.

Three questions for understanding a transaction

First, what is moving? An asset contribution, an issue of new shares and a purchase of existing shares describe different exchanges. Second, who is expected to hold which interests afterwards? Third, which event makes that expected position effective? Separating those questions makes a transaction easier to explain without collapsing its steps into a single headline.

For an internal deal summary, an announced structure can be presented alongside the conditions that remain open. That approach preserves the distinction between the parties’ intended outcome and the status reached so far. It does not determine which approvals apply to another transaction.

Relevance for corporate and commercial teams

The analytical value of this example is the relationship between consideration, share issuance and control. These are connected concepts, but a description of one does not fully describe the others. Clear transaction language can help commercial and legal teams discuss the same milestone.

This briefing draws solely on the accessible Jakarta Post report. It does not confirm a subsequent closing, value the securities or assess the rights of an individual shareholder. The original report remains the source for transaction-specific detail.

This briefing is general information and does not constitute legal advice. Its application depends on the facts and the law in force at the relevant time.
